Thomas AI — Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using the Thomas AI mobile application or platform ("Thomas AI", "the App", "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of Thomas AI, including individual subscribers and users accessing the Service through a corporate or enterprise program enrolment ("Program Participants").

The Service is operated by Preiss Group Pty Ltd (ABN 50 134 438 994) ("we", "us", "our"), a company incorporated in New South Wales, Australia.

2. Description of Service

Thomas AI is an AI-powered thinking tool designed to support complex B2B sales professionals in developing and interrogating their deal logic. The Service operates in conjunction with the Thinking Planner framework and is intended to challenge and develop the quality of users' strategic thinking in relation to sales opportunities.

Thomas AI is purpose-built for professional development in complex B2B sales contexts. We reserve the right to modify, update, temporarily suspend, enhance, or change the features, underlying models, functionality, third-party software integrations, and user interface of the Service at any time without notice or liability.

The Service is not intended to:

●      Provide legal, financial, or investment advice

●      Replace professional judgment or decision-making

●      Guarantee specific sales outcomes or commercial results

●      Function as a customer relationship management (CRM) system

3. Eligibility and Access

3.1 Individual Users

Individual access to Thomas AI requires registration with a valid email address and acceptance of these Terms. You must be 18 years of age or older to use the Service.

3.2 Enterprise and Program Participants

Where access to Thomas AI is provided as part of a corporate training program or cohort engagement delivered by Preiss Group Pty Ltd, your access is subject to these Terms in addition to any program-specific terms agreed between your employer (or sponsoring organisation) and Preiss Group Pty Ltd. In the event of any conflict, those program-specific terms take precedence.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account at accounts@thomaspreiss.com.

4. Acceptable Use

You agree to use Thomas AI only for lawful purposes and in accordance with these Terms. You must not:

●      Use the Service in any way that violates applicable laws or regulations.

●      Input any information that is highly sensitive personal data, or confidential information subject to non-disclosure obligations, without appropriate authorization from your employer or the relevant party.

●      Attempt to reverse engineer, decompile, or extract the underlying model, prompts, or training data of the Service.

●      Use the Service to generate content intended to deceive, defraud, or harm any third party.

●      Share your account credentials with any other person.

●      Attempt to circumvent any access controls, usage limits, or governance standards built into the Service.

●      Use the Service for any purpose other than professional development and deal strategy support in a B2B sales context.

5. AI Limitations and Disclaimer

5.1 Nature of AI Output

Thomas AI uses artificial intelligence to generate responses based on the information you provide. You acknowledge and agree that:

●      AI-generated responses may not always be accurate, complete, or applicable to your specific situation.

●      The Service is designed to challenge and develop your thinking, not to replace it.

●      All commercial decisions, customer commitments, and strategic actions remain your sole responsibility.

●      Thomas AI does not have access to real-time market data, your organisation's internal systems, or verified external information.

5.2 No Guarantee of Outcomes

We make no representation or warranty that use of Thomas AI will result in improved sales performance, successful deal outcomes, or any specific commercial result. The quality of outputs is dependent on the quality and accuracy of the information you provide.

5.3 Professional Judgment

Nothing in the Service constitutes professional advice of any kind. Users must apply their own professional judgment to any output generated by Thomas AI before taking action.

6. Data, Privacy and Large Language Models (LLMs)

6.1 Information You Provide

When using Thomas AI, you may input information about sales opportunities, customer organisations, and business contexts. You warrant that you have the right to input such information and that doing so does not breach any confidentiality obligation, non-disclosure agreement, or applicable law.

6.2 Platform Architecture and Data Processing Linkage

Thomas AI is built on the secure, enterprise-grade Steno.ai platform. By using the Service, you acknowledge, understand, and agree to the following data handling, structural mapping, and architectural processing practices:

●      Isolated Model Customization: To deliver custom-tailored strategic responses, the platform processes data to train and fine-tune private, isolated model instances dedicated exclusively to our deployment. This occurs within a secure infrastructure silo completely separated from public systems.

●      Strict Data Separation: Your inputs, deal data, and trained model structures are kept strictly isolated. Your data is never utilized to train models for other customers, nor is it shared or leaked to any unauthorized third parties.

●      Upstream LLM Infrastructure Protections: The underlying platform exclusively utilizes foundational Large Language Model (LLM) providers that contractually commit to zero data retention for public training loops. Your inputs remain protected from external public AI model training.

●      Account-Linked Data Mapping Disclosure: While the underlying technical platform architecture separates conversation data via pseudonymous database identifiers, our system layer explicitly links and maps your core profile credentials (your name and verified email address) to your active conversation logs. This mapping is required to generate, secure, and maintain your personal dashboard history.

●      Corporate and Enterprise Visibility: If you are a Program Participant accessing the Service under a corporate deployment, you explicitly acknowledge that your account-linked data history, active engagement metrics, and chat transcripts are visible to and auditable by your sponsoring organization’s designated global administrator for compliance, training, and professional development purposes.

●      Encryption and Controls: All data remains fully encrypted both in transit (TLS 1.3) and at rest (AES-256) within enterprise cloud environments (Microsoft Azure). Data sets and trained instances are subject to deletion or permanent anonymization upon the conclusion of our retention schedule, generally lasting up to one year following account closure, subject to standard system backup cycles.

6.3 Privacy Policy

Your use of Thomas AI is also governed by our Privacy Policy, available at https://www.thomaspreiss.com/privacy-statement. The Privacy Policy is incorporated into these Terms by reference.

6.4 Enterprise Data

Where Thomas AI is deployed as part of a corporate program, data handling obligations may be subject to additional terms agreed with the relevant enterprise client. Enterprise clients should contact us at accounts@thomaspreiss.com to discuss data processing agreements.

7. Intellectual Property

7.1 Our Intellectual Property

The Thomas AI platform, the Thinking Planner framework, all associated content, methodology, training data, system prompts, and proprietary materials are the exclusive intellectual property of Preiss Group Pty Ltd. Nothing in these Terms grants you any right, title, or interest in our intellectual property other than the limited right to use the Service as permitted by these Terms.

7.2 Your Content

You retain ownership of any information you input into Thomas AI. By inputting information, you grant Preiss Group Pty Ltd a limited, non-exclusive, worldwide licence to process that information solely for the purpose of delivering, supporting, and maintaining the Service to you.

8. Subscription, Fees and Payment

8.1 Individual Subscriptions

Where Thomas AI is available on an individual subscription basis, fees and payment terms will be presented to you at the point of purchase. All fees are in Australian Dollars (AUD) unless otherwise stated.

8.2 Enterprise Programs

Where access to Thomas AI is provided as part of a Preiss Group Pty Ltd program engagement, fees are governed by the commercial agreement between Preiss Group Pty Ltd and the relevant enterprise client.

8.3 Refunds and Consumer Guarantees

(a) Australian Consumer Law Guarantees Our Services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the Service, you are entitled to cancel your service contract with us and receive a refund for the unused portion of, or compensation for its reduced value. If a failure with the service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done, you are entitled to cancel the contract for the service and obtain a refund of any unused portion.

(b) Change of Mind Except as required by the Australian Consumer Law, we do not offer refunds, credits, or pro-rata adjustments for "change of mind," voluntary account deletion, or if you simply choose not to use the Service during a billing cycle.

(c) Individual Subscriptions If you have purchased an individual subscription through an external application store (such as the Apple App Store or Google Play Store) via the Steno.ai platform interface, the administrative processing of any refund may be managed by that respective app marketplace. However, nothing in those marketplace terms overrides or diminishes your statutory rights under the Australian Consumer Law.

(d) Enterprise Programs and Corporate Cohorts Where access to Thomas AI is provisioned as part of a corporate program or enterprise engagement delivered by Preiss Group Pty Ltd, all fees, payment terms, credits, and refund eligibility are strictly governed by the commercial agreement, Master Services Agreement (MSA), or Statement of Work (SOW) executed between Preiss Group Pty Ltd and the relevant corporate client. Individual Program Participants accessing the Service via a corporate allocation do not have a direct financial relationship with us for that access and are not entitled to request or receive direct financial refunds, cash credits, or compensation from Preiss Group Pty Ltd.

(e) Requesting a Refund If you are an individual subscriber and believe the Service has failed to meet a consumer guarantee, please contact us immediately at accounts@thomaspreiss.com with your account details, proof of purchase, and a specific description of the failure so we can assess and remedy the matter in accordance with our legal obligations.

9. Suspension and Termination

9.1 Termination by You

You may terminate your use of Thomas AI at any time by deleting your account through the App settings or by contacting us at accounts@thomaspreiss.com.

9.2 Suspension or Termination by Us

●      For Investigation or Operational Security: We reserve the right to temporarily suspend your access to Thomas AI immediately, with or without prior notice, if we reasonably suspect a material breach of these Terms, unauthorized security access, or systemic abuse of the platform, pending an internal operational review.

●      For Cause (Breach): We may terminate your access to Thomas AI if we determine, acting reasonably, that you have breached these Terms or engaged in unlawful platform conduct. No refunds will be provided for termination resulting from user breach.

●      For Discontinuation: We reserve the right to discontinue the Service or parts thereof. Except in urgent cases involving legal, security, or third-party platform limitations, we will use reasonable efforts to provide you with at least 30 days' advance notice of any planned service discontinuation. If we discontinue the Service, individual subscribers will be issued a pro-rata refund for any prepaid, unused portion of their active subscription.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Your data will be retained for up to one year following termination of our business relationship, after which it will be deleted or anonymised, subject to routine server backup timelines.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

●      Preiss Group Pty Ltd's total liability to you in connection with the Service will not exceed the amount paid by you for the Service in the twelve months preceding the relevant claim.

●      We will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of revenue, loss of profits, loss of data, or loss of business opportunity.

●      The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be completely uninterrupted, secure, or free from temporary outages or delays.

●      Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Australian law, including the Australian Consumer Law.

11. Indemnification

You agree to indemnify and hold harmless Preiss Group Pty Ltd and its officers, employees, and agents from and against any third-party claims, damages, liabilities, losses, or expenses (including reasonable legal fees) to the extent arising directly out of or in connection with:

●      Your unlawful use of the Service;

●      Your material breach of these Terms; or

●      The infringement of any third-party intellectual property or privacy rights caused by content or data you input into Thomas AI.

12. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you through the App interface or via your registered email. Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

13. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through the following escalation process before initiating court proceedings:

●      Notification: The aggrieved party must provide written notice of the dispute to the other party, detailing the nature of the claim and the requested remedy.

●      Good Faith Negotiation: Upon receipt of such notice, representatives from both parties must meet (via video conference or in person) and attempt to resolve the dispute in good faith within thirty (30) days.

●      Mediation: If the dispute cannot be resolved through negotiation within thirty (30) days, either party may request that the dispute be referred to non-binding mediation administered by the Australian Commercial Disputes Centre (ACDC), with the costs of mediation shared equally between the parties, conducted in Sydney, New South Wales.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Subject to the dispute resolution provisions in Section 13, you submit to the non-exclusive jurisdiction of the courts of New South Wales for the resolution of any remaining legal proceedings.

15. Survival

Any provision of these Terms which by its nature ought to survive termination or expiry shall survive, including Section 5 (AI Limitations), Section 6 (Data and Privacy), Section 7 (Intellectual Property), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 13 (Dispute Resolution), Section 14 (Governing Law), and this Section 15.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
